KRYZELL LLC

TERMS OF SERVICE, PRIVACY POLICY, AND USER CONSENT AGREEMENT

PART I: TERMS OF SERVICE

Effective Date: October 26, 2026

Last Updated: October 26, 2026

Welcome to Kryzell. These Terms of Service ("Terms") constitute a legally binding agreement between you (whether individually or on behalf of an entity) and Kryzell LLC, a New York limited liability company ("Kryzell LLC," "we," "us," or "our"). These Terms govern your access to and use of the website located at kryzell.com, web applications, QR code interfaces, and associated tools and services (collectively, the "Service").

BY CREATING AN ACCOUNT, CHECKING AN ACCEPTANCE BOX, SCANNING A KRYZELL QR CODE, TRANSMITTING A TIP, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU EXPRESSLY AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE PROHIBITED FROM USING THE SERVICE AND MUST CEASE USE IMMEDIATELY.

1. ABOUT THE PLATFORM & RELATIONSHIP DISCLAIMERS

1.1 Software Platform Role

Kryzell LLC provides proprietary software enabling contactless gratuities and feedback via QR codes. Service workers and businesses ("Workers" or "Merchants") generate or receive unique QR codes, and customers ("Customers" or "Patrons") scan these codes to route voluntary tips and submit optional reviews without requiring a native app download.

1.2 Independent Contractor / No Employment Relationship

Kryzell LLC is an independent technology provider. Kryzell LLC is not an employer, employment agency, staffing agency, labor broker, or joint employer of any Worker. Kryzell LLC does not direct, supervise, control, schedule, or evaluate Workers, nor does it establish wages or working conditions.

1.3 Labor & Wage Compliance (FLSA & New York Labor Law)

If a business, employer, or manager ("Merchant") registers, assigns, or oversees QR codes or accounts for its staff, that Merchant assumes sole legal responsibility for compliance with all federal, state, and local labor, wage, and tip laws, including the Fair Labor Standards Act (FLSA) and New York Labor Law. Merchants agree that:

No owners, managers, supervisors, or exempt employees shall participate in, retain, or withhold funds from employee tip pools in violation of applicable law.

Kryzell LLC has no duty to monitor, audit, or enforce tip-credit or tip-pooling arrangements between Merchants and their workers.

1.4 Platform Role and Payment Regulation

Kryzell LLC provides software that facilitates QR-based tips and related payment instructions. The payment setup uses Stripe Connect destination charges that route tip proceeds to Workers' connected Stripe accounts. Payment processing and money movement are provided through Stripe and its affiliates under the applicable agreements and configuration. Kryzell does not represent that using a third-party processor, by itself, resolves every licensing, money-transmission, consumer-protection, or other legal requirement that may apply to Kryzell. The parties' rights and responsibilities depend on the actual payment flow, applicable law, and processor agreements. Kryzell is not a bank and does not claim to hold any license it does not possess.

1.5 Destination Charges, Payment Recipient, and Statement Descriptor

Kryzell uses Stripe Connect destination charges, under which the charge is processed through Kryzell’s platform Stripe account and the tip proceeds are transferred to the connected Stripe account of the applicable Worker or other approved recipient. The connected account's configuration and Stripe's rules determine the applicable payment descriptor, processing fees, dispute handling, refunds, and allocation of losses. The platform fee payable to Kryzell is intended to be collected from the Worker’s transaction through Stripe Connect, where supported by the configured application-fee mechanism. Customers should review the checkout screen and payment statement for the applicable recipient and descriptor; Kryzell cannot guarantee how a bank or card issuer displays it.

2. PAYMENT PROCESSING VIA STRIPE CONNECT

2.1 Stripe Connect Destination Charges

Kryzell uses Stripe Connect destination charges for tips. Each charge is processed through Kryzell’s platform Stripe account and the tip proceeds are transferred to the applicable Worker’s connected Stripe account. Stripe’s connected-account configuration and agreements govern the processing of each charge, including the collection of Stripe processing fees, platform application fees, refunds, disputes, reserves, and negative balances. Stripe receives and processes payment-card credentials through its payment systems; Kryzell should not collect or store full card numbers or CVVs.

2.2 Stripe Agreements

By using the Service:

Workers and Merchants who receive payments through a connected account must accept the Stripe agreement(s) presented during onboarding, including the applicable Connected Account Agreement and related terms. They must complete identity, business, beneficial-ownership, and payout-account verification required by Stripe and keep submitted information current.

Customers authorize the payment method selected at checkout to be charged for the tip amount and any fee expressly shown to the Customer before confirmation. Stripe and the relevant payment method provider process the transaction under their applicable terms.

The exact Stripe agreement links and onboarding language must be checked against the account type and onboarding flow Kryzell actually uses.

2.3 Processor Independence

Kryzell LLC is not liable for the acts, omissions, outages, account closures, verification delays, or reserve requirements imposed by Stripe or card networks (Visa, Mastercard, American Express, Discover).

2.4 Onboarding and Ongoing Verification

Workers and Merchants must successfully complete Stripe's onboarding and identity-verification process before receiving payouts. Kryzell LLC reserves the right to suspend or limit accounts that fail verification, provide incomplete or inaccurate information, or later fall out of compliance with Stripe's or Kryzell LLC's requirements.

3. ELIGIBILITY & USER ACCOUNTS

3.1 Eligibility

To access or use the Service, you represent and warrant that:

Worker and Merchant account holders are at least eighteen (18) years of age, or the age of majority where they reside if higher;

Customers must meet the minimum age required by the payment method, Stripe, and applicable law. Unless Kryzell expressly implements a lawful, processor-approved process for minors, Customers must be at least eighteen (18) years of age to make a payment through the Service;

You possess the legal capacity and authority to enter into these Terms;

If you are registering on behalf of a company or commercial venue, you are authorized to bind that entity;

If you are a Worker, you are legally able to work and receive payments in the United States;

You and your connected accounts comply with all Know-Your-Customer (KYC) and Anti-Money Laundering (AML) identity verifications required by Stripe and applicable law;

You have not been previously suspended or permanently banned from the Service;

You are not located in, or a resident of, any country or region subject to comprehensive U.S. sanctions, and you are not on any U.S. government restricted-party list.

3.2 Account Integrity

Account holders are solely responsible for maintaining the confidentiality of their credentials and for all activities that occur under their account. You agree to notify Kryzell LLC immediately at [email protected] of any unauthorized access or security breach. In addition:

Workers must keep their profile information accurate, including name, contact information, and payout details, and must display and use their QR code only for legitimate tipping related to their actual work.

One person, one account, unless Kryzell LLC approves otherwise in writing.

Customers do not need an account to tip, but must provide accurate payment information. Tips are real payments, not pledges.

Merchants and managers who manage QR codes or accounts on behalf of workers (for example, a coffee shop owner managing barista codes) confirm that they have each worker's permission and are responsible for those workers' compliance with these Terms.

4. TIPS, PLATFORM FEES, PAYOUTS & TAXES

4.1 Nature of Tips

Tips transmitted through the Service are voluntary gratuities from Customers to designated Workers. A tip becomes the property of the intended Worker (or Merchant, if structured as a venue-wide pooled account) upon successful processing, subject to applicable platform and processing fees. Kryzell LLC may set minimum and maximum tip amounts and may change them with notice.

4.2 Kryzell Platform Fee and Stripe Fees

Kryzell charges the Worker a platform fee for use of the Service. The platform fee is 2.99% of each tip plus $0.49 per transaction; this combined amount covers card processing (charged by Stripe) and Kryzell's service fee. The platform fee is deducted from the tip transaction through Stripe Connect, where supported by the actual direct-charge configuration. When a Customer chooses the "cover the fee" option at checkout, this combined fee is added to the Customer's charge so the Worker receives the full intended tip.

The Worker’s net proceeds may also be reduced by Stripe processing fees and any other fees that are disclosed in the applicable Stripe agreement or platform fee schedule. The platform fee and any other deduction must be disclosed clearly to Workers before they use the Service and reflected accurately in onboarding or dashboard terms. Customer checkout must show the amount the Customer will be charged before the Customer confirms payment; do not charge an undisclosed customer fee.

Kryzell may change its platform fee after at least fourteen (14) days’ prior notice to affected Workers by email or dashboard notification, unless a longer period is required by law or contract. Changes apply prospectively. Workers may stop using the Service if they do not agree. Continued use after the effective date may constitute acceptance only to the extent permitted by applicable law.

4.3 Payouts, Holds, and Timing

Stripe controls payout timing under the connected account’s settings and applicable Stripe agreements. Actual timing may depend on account verification, payout schedules, bank processing, reserves, disputes, and legal or compliance reviews. Kryzell cannot guarantee a particular payout date. Stripe or Kryzell may take actions permitted by the applicable agreements and law to address suspected fraud, unauthorized activity, excessive disputes, sanctions concerns, or legal requirements. Any hold or restriction will be handled in accordance with the applicable Stripe agreement and law.

4.4 Pooled / Team Tips

If a Merchant elects to use venue-wide or team tip pools, the Merchant is solely responsible for (a) obtaining any required worker consents, (b) complying with all applicable tip-pooling and tip-credit laws, and (c) accurately allocating and distributing pooled amounts. Kryzell LLC has no obligation to monitor or enforce internal tip-pool arrangements.

4.5 Tax Reporting & IRS Form 1099-K

Workers and Merchants are solely responsible for determining, reporting, and remitting all local, state, and federal income, employment, and sales taxes arising from tips received.

Stripe operates as the Third-Party Settlement Organization (TPSO) responsible for preparing and filing IRS Form 1099-K and applicable state informational returns for accounts that satisfy reporting thresholds.

Kryzell LLC does not provide tax or legal counsel and does not issue IRS Form W-2 or Form 1099-NEC to Workers.

4.6 Scheduled Tips (Send Later)

Kryzell plans to offer a feature allowing a Customer to request a tip charge on a selected future date. This feature may be offered only after the payment integration supports it and the required authorizations, disclosures, cancellation flow, and payment-method rules have been implemented.

Clear Authorization: Before scheduling, the Customer must see and confirm the recipient, amount, intended charge date, and any other material payment terms. The interface must obtain an affirmative authorization for the future charge in a manner approved for the selected payment method and compliant with applicable law.

No Charge at Scheduling Unless Disclosed: Unless the checkout flow clearly states otherwise, the scheduled tip is not charged until the selected delivery date. The live system must not store or reuse payment credentials except as permitted by Stripe, the payment method, and applicable consent.

Cancellation: The Customer may cancel a scheduled tip before it is submitted for processing by using the cancellation mechanism provided in the confirmation or by contacting [email protected]. The interface should make cancellation straightforward and provide confirmation. A cancellation request received after a charge has been submitted may not stop that charge; applicable legal and payment-provider rights remain unaffected.

Declined or Failed Charge: If the payment is declined or cannot be processed, the tip may not be delivered. Any retry must be limited to the disclosed and authorized retry process and applicable processor rules. The Customer will not be charged for a scheduled tip that is not successfully processed, except for any amount lawfully owed under a separately disclosed and authorized term.

Recipient and Payout: A scheduled tip is not delivered to the Worker unless and until the charge is successfully processed on the Worker’s connected account. Payout timing remains subject to Section 4.3 and Stripe’s rules.

Fee Disclosure: Before the Customer confirms the scheduled tip, Kryzell must disclose the total amount charged to the Customer. The Worker’s platform fee and applicable Stripe fees must be explained to the Worker in the fee schedule and/or connected-account disclosures.

Launch Condition: Do not enable this feature until the technical implementation has been tested for future-dated payment authorization, cancellation, expired or replaced payment methods, failed payments, duplicate prevention, time-zone handling, and customer notifications.

5. REFUNDS, CHARGEBACKS & RECOUPMENT

5.1 Completed Tips and Refunds

A tip is a voluntary payment. Once successfully processed, it is generally not refundable at the Customer’s request, except where Kryzell or the recipient approves a refund, a transaction was erroneous, duplicated, unauthorized, or fraudulent, a refund is required by law or payment-network rules, or another applicable right applies. Nothing in these Terms waives a Customer’s non-waivable rights to dispute a charge with their bank, card issuer, payment provider, or under applicable law. Scheduled tips may be cancelled before the charge is submitted for processing as described in Section 4.6.

5.2 Erroneous, Duplicate, or Unauthorized Charges

Customers should contact [email protected] promptly if they believe a charge is incorrect, duplicated, unauthorized, or fraudulent so Kryzell can investigate and, where appropriate, coordinate with the Worker and Stripe. Any internal reporting period is intended to help resolve issues promptly and does not shorten statutory rights, payment-network rights, or deadlines imposed by a bank, card issuer, Stripe, or applicable law. Refunds and disputes are handled under the actual Stripe configuration, the applicable agreements, and the law.

5.3 Chargebacks & Negative Balances

If a Customer initiates a cardholder chargeback, payment dispute, or reversal with their issuing bank:

Stripe manages the formal dispute process and assesses standard dispute fees.

Responsibility for Charges: The setup uses destination charges processed through Kryzell’s platform Stripe account, with tip proceeds transferred to Workers’ connected accounts. Stripe’s agreements and configuration determine which account is debited for refunds, processing fees, disputes, reversals, and negative balances. When Kryzell issues a refund, the transfer to the Worker’s connected account is reversed and Kryzell’s platform fee is returned; Stripe’s processing fee on the original charge is not returned by Stripe.

Offsets and Bank Debits: Any offset against future proceeds or debit from a linked bank account may occur only where permitted by the applicable Stripe agreement, a valid separate authorization where required, and applicable law. These Terms alone should not be treated as a substitute for an ACH authorization.

Worker Responsibility: A Worker may be responsible for amounts attributable to that Worker’s transactions or conduct to the extent permitted by the applicable Stripe agreement and law. Kryzell will not impose a recovery that is prohibited by law or by the governing processor agreement.

6. CUSTOMER REVIEWS & RATINGS

Customers may submit star ratings and voluntary reviews following a transaction.

Prohibited Content: Reviews must reflect genuine personal experiences and must not contain defamatory, libelous, profane, hateful, racially discriminatory, harassing, or sexually explicit content, or private personal data (names, phone numbers, home addresses).

Content Moderation: Kryzell LLC reserves the right, but does not assume the obligation, to edit, unpublish, or delete reviews that violate these standards or reflect suspected extortion, spam, or competitive sabotage. Kryzell LLC may remove or edit any review at its discretion, including at a Worker's request when the review violates these standards. Kryzell LLC does not remove reviews simply because they are negative.

No Review Manipulation: Workers may not review themselves, pay for reviews, or pressure customers to change or remove reviews.

Review License: By posting a review or rating, you grant Kryzell LLC an irrevocable, perpetual, worldwide, non-exclusive, royalty-free license to host, display, and reproduce that content across the Service.

7. INTELLECTUAL PROPERTY

7.1 Platform Ownership

The Service, including all software, QR-code generation systems, designs, text, graphics, logos, trademarks, and other content (excluding User Content), is owned by Kryzell LLC or its licensors and is protected by copyright, trademark, and other intellectual-property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the Service except as expressly permitted by these Terms.

7.2 Limited License to Users

Subject to these Terms, Kryzell LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.

7.3 User Content License

By submitting reviews, ratings, profile information, or other content ("User Content"), you grant Kryzell LLC a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Service and Kryzell LLC's business.

8. PROHIBITED CONDUCT

You expressly agree not to utilize the Service to:

Conduct fraudulent transactions, including tipping oneself to artificially cycle funds, cash-out stolen cards, or create fraudulent credit lines;

Engage in money laundering, terrorist financing, or sanctions evasion;

Exploit the platform for commercial activities unrelated to bona fide tipping for real-world personal or hospitality services;

Interfere with, bypass, or circumvent platform security measures, QR routing logic, or rate limits;

Scrape, data-mine, crawl, decompile, disassemble, or reverse-engineer the Service's underlying source code or APIs;

Solicit patrons to execute off-platform payments for the purpose of circumventing Kryzell LLC's platform fees;

Impersonate another person or business, or harass, threaten, or defame Workers, Customers, or Kryzell LLC staff;

Use the platform in violation of any applicable federal, state, or municipal law or regulation, including U.S. export-control and sanctions laws;

Schedule tips using payment methods you do not own, know to be expired, or know will fail at delivery, or abuse the Scheduled Tips feature to test stolen card data or create artificial transaction volume.

Kryzell LLC cooperates with Stripe, banks, and law enforcement on suspected fraud and illegal activity, and will report it where required.

9. ELECTRONIC COMMUNICATIONS & E-SIGN CONSENT

9.1 Electronic Communications and Records

Where permitted by law, you agree that Kryzell may provide Terms, notices, receipts, disclosures, records, and other communications electronically, including by email, through the Service, or by posting a notice on kryzell.com. You should keep your contact information current and retain copies of important communications. Where law requires particular disclosures, consent language, or a way to obtain a paper copy, Kryzell will provide the required process. This section does not replace any separate consent required for future-dated payments, electronic signatures, or text messages.

9.2 Withdrawal of Electronic Consent

You may request to withdraw consent to electronic records by contacting [email protected]. Withdrawal may limit or prevent use of features that depend on electronic records, but will not remove rights that cannot lawfully be waived. Kryzell will explain any practical consequences and available alternatives where required by law.

10. SUSPENSION AND TERMINATION

By Kryzell LLC: We reserve the right to suspend or terminate your account, restrict your QR code, or block payments at any time, without prior notice, if you breach these Terms, incur excessive dispute rates, trigger anti-fraud alerts, or pose legal liability to Kryzell LLC or Stripe.

Pending Payouts on Termination: If a Worker's account is terminated with payouts pending, legitimately earned tips will still be paid out through Stripe after applicable holds, minus any amounts Kryzell LLC is entitled to recover under these Terms, unless Kryzell LLC is legally required to hold them.

By You: You may close your account at any time by sending written notice to [email protected]. Account closure does not discharge preexisting financial obligations, pending chargeback liabilities, or indemnification duties. Pending payouts will be completed per Stripe's schedule.

Survival: Sections 1, 2, 4.5, 5, 7, 11, 12, 13, 14, and 16 survive any termination of these Terms.

11. DISCLAIMERS OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, KRYZELL LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

KRYZELL LLC DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, BUG-FREE, SECURE, OR FREE FROM TRANSMISSION ERRORS. KRYZELL LLC MAKES NO REPRESENTATIONS OR GUARANTEES CONCERNING THE MINIMUM VOLUME OF TIPS A WORKER WILL RECEIVE.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

NO CONSEQUENTIAL DAMAGES: IN NO EVENT SHALL KRYZELL LLC, ITS DIRECTORS, MEMBERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOSS OF TIPS, BUSINESS INTERRUPTION, OR LOSS OF DATA) ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE MONETARY CAP: KRYZELL LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(A) THE TOTAL PLATFORM FEES RETAINED BY KRYZELL LLC FROM YOUR TRANSACTIONS DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR

(B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

13. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Kryzell LLC, its officers, managers, members, employees, and successors from and against any and all third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

Your access to or use of the Service;

Your breach or alleged breach of these Terms;

Any labor, employment, wage, or tip-pooling dispute between a Merchant and its Workers;

Your violation of any third-party right, including intellectual property, privacy, or consumer protection rights;

Any fines, chargeback fees, or assessments levied by payment processors or card networks as a result of your transactions.

14. DISPUTE RESOLUTION & MANDATORY BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

14.1 Informal Resolution

Before initiating formal arbitration, you and Kryzell LLC agree to attempt to resolve any dispute, claim, or controversy informally by providing written notice to [email protected] detailing the nature of the claim. Both parties agree to negotiate in good faith for thirty (30) days following receipt of notice.

14.2 Binding Individual Arbitration

If informal negotiation fails, any dispute, controversy, or claim arising out of or relating to these Terms, the breach thereof, or the Service shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

The arbitration proceedings shall take place in Rockland County, New York (or virtually by mutual consent).

The arbitrator's award shall be final and binding, and judgment upon the award may be entered in any court having competent jurisdiction.

14.3 Class Action & Jury Trial Waiver

YOU AND KRYZELL LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS. BOTH PARTIES WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO A JURY TRIAL.

14.4 Governing Law & Forum

These Terms and all disputes arising hereunder are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. To the extent court proceedings are permitted under these Terms (such as enforcement of an arbitration award or qualifying small-claims actions), the parties consent to personal jurisdiction in the state and federal courts located in the State of New York.

15. FORCE MAJEURE

Kryzell LLC shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, or failures of public infrastructure, internet service providers, or payment processors (including Stripe).

16. MISCELLANEOUS

Severability: If any provision of these Terms is deemed unlawful or unenforceable, that provision will be severed without affecting the validity and enforceability of the remaining provisions.

No Waiver: Failure by Kryzell LLC to enforce any right or provision of these Terms does not constitute a waiver of future enforcement.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Kryzell LLC may freely assign its rights and obligations in connection with an asset sale, corporate restructuring, or acquisition.

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kryzell LLC regarding your use of the Service.

Notices: Formal legal notices to Kryzell LLC must be sent by email to [email protected] and by certified mail to the registered agent address on file with the New York Department of State (or such other address as Kryzell LLC may designate).

17. CHANGES TO THESE TERMS

Kryzell LLC may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on the Service at least fourteen (14) days before the changes take effect. Continuing to use the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Service and close your account.

PART II: PRIVACY POLICY

Effective Date: October 26, 2026

Last Updated: October 26, 2026

This Privacy Policy describes how Kryzell LLC ("Kryzell LLC," "we," "us," or "our") collects, uses, protects, and discloses personal information obtained through our website, QR codes, and web application at kryzell.com.

1. INFORMATION WE COLLECT

1.1 Information Provided by Workers & Businesses

Registration Data: Full legal name, business trade name (DBA), email address, telephone number, physical business address, and profile photo.

Payout & Tax Details: Connected Stripe account identifiers, bank routing and account numbers, and taxpayer identification numbers (EIN/SSN). These details are processed and held by Stripe Connect; Kryzell LLC does not store full bank account numbers or Social Security numbers on its servers.

1.2 Information Provided by Customers / Patrons

Transaction Data: Tip amount, designated Worker/venue, and optional written review comments and star ratings.

Contact Information: Email address or mobile phone number (optional, collected if the patron requests a digital receipt).

1.3 Information Handled Exclusively by Stripe

All payment card credentials (credit/debit card numbers, expiration dates, CVVs) are collected directly by Stripe via embedded iframe/tokenization libraries. Kryzell LLC receives only truncated metadata (such as the card brand and last four digits) to display transaction receipts.

1.4 Automatically Collected Device & Usage Data

When interacting with our QR codes or web pages, our servers automatically log:

Device identifiers, operating system version, browser type, and screen resolution;

Internet Protocol (IP) address and approximate geolocation inferred from IP;

Timestamps of scans, page views, and completed transactions;

Camera Access (QR Scanning): With your explicit permission, the web application accesses your device camera solely to scan Kryzell QR codes. Video frames are processed locally on your device in real time and are not uploaded to, stored on, or reviewed by Kryzell LLC servers. You can deny camera permission and instead enter a tip code manually or select the Worker from a list.

Cookie and similar tracking technologies (see Section 1.5).

1.5 Cookies and Tracking Technologies

Kryzell and its service providers may use cookies, local storage, pixels, logs, and similar technologies to operate the Service, remember preferences, understand usage, maintain security, and detect fraud. The published Policy must accurately reflect the technologies actually deployed. Where required, Kryzell will provide a cookie notice, consent tool, or opt-out control. Browser settings may block some technologies, although certain Service functions may then not work. Kryzell should not deploy tracking technologies inconsistent with this Policy or applicable consent requirements.

2. HOW WE USE YOUR INFORMATION

We use the information collected to:

Facilitate, authorize, and record contactless gratuities and route payouts to Workers;

Authenticate users, verify connected accounts, and maintain platform security;

Screen transactions for fraud, card testing, velocity abuse, and suspicious charge patterns;

Send transactional receipts, payout alerts, and administrative policy updates;

Provide customer support and address dispute or chargeback inquiries;

Improve the Service and understand how it is used;

Comply with applicable legal, accounting, tax reporting (Form 1099-K support), and regulatory requirements.

3. SHARING OF INFORMATION

We share personal information strictly as necessary to execute the Service:

Payment Processor (Stripe): We transmit account and transaction data to Stripe to clear payments, administer Connect accounts, and fulfill tax reporting obligations.

Patron-to-Worker Visibility: When a customer scans a QR code, the Worker's public display name, photo, and venue affiliation are displayed. When a customer posts a public review, their submitted rating and comments are visible on the Worker's public profile.

Service Providers: Kryzell may share necessary information with vendors that support hosting, databases, security, customer support, and transactional email or SMS. Before publication, Kryzell must confirm its actual vendors and ensure appropriate contractual and security safeguards are in place.

Legal and Regulatory Disclosures: We may disclose data if required by subpoena, court order, or applicable law, or to protect the safety, rights, and property of Kryzell LLC, our users, or the public.

Business Transfers: If Kryzell LLC is involved in a merger, acquisition, reorganization, or sale of assets, user data may be transferred to the acquiring entity.

Kryzell does not sell personal information to data brokers as a business practice. Kryzell will assess its actual use of cookies, analytics, advertising tools, and service providers to determine whether any activity qualifies as a “sale,” “sharing,” targeted advertising, or similar regulated processing under applicable privacy laws, and will provide required disclosures and opt-out controls.

4. YOUR PRIVACY RIGHTS

4.1 General Rights

Depending on your location, you may have the right to:

Access the personal information we hold about you;

Correct inaccurate personal information;

Request deletion of your personal information (subject to legal retention requirements);

Opt out of certain processing or marketing communications.

4.2 California Residents (CCPA/CPRA)

If you are a California resident, you have additional rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA), including the right to know what personal information we collect, the right to delete, the right to correct, and the right to opt out of the "sale" or "sharing" of personal information. Kryzell LLC does not sell personal information. To exercise these rights, contact us at [email protected]. We will not discriminate against you for exercising your rights.

4.3 Residents of Other U.S. States

Residents of Colorado, Connecticut, Virginia, Utah, Texas, Oregon, Montana, and other states with comprehensive consumer-privacy laws may have rights substantially similar to those described in Section 4.2, including rights to access, correct, delete, and opt out of certain processing of their personal information. Kryzell LLC does not sell personal information or engage in targeted cross-context behavioral advertising. To exercise any of these rights, contact us at [email protected]. We will not discriminate against you for exercising your rights.

4.4 Data Deletion and Retention

Users may submit privacy or account-deletion requests to [email protected]. Kryzell retains personal information for as long as reasonably necessary for the purposes described in this Policy, including providing the Service, resolving disputes, preventing fraud, meeting legal obligations, and maintaining required financial and tax records. Some transaction, payment, security, or accounting records may need to be retained after account closure. Kryzell should maintain an internal retention schedule reflecting actual business needs, processor requirements, and applicable law. Deletion requests will be handled subject to those limits.

5. DATA SECURITY

We maintain commercially reasonable technical and administrative controls designed to safeguard personal data against unauthorized access, loss, or alteration. All web communications are encrypted in transit using Transport Layer Security (TLS/HTTPS). No method of transmission or storage is 100% secure, and we cannot guarantee absolute security.

6. CHILDREN'S PRIVACY

The Service is not designed for children under thirteen (13), and Kryzell does not knowingly collect personal information online from children under thirteen (13) without legally required parental consent. Payment features may be subject to a higher minimum age under these Terms, processor rules, or applicable law. If Kryzell learns that it has collected information from a child in a manner that violates applicable law, it will take appropriate steps to investigate and delete or otherwise handle the information as required by law.

7. INTERNATIONAL USERS

The Service is operated from the United States and is intended for users in the United States. If you access the Service from outside the United States, you consent to the transfer and processing of your information in the United States, which may have different data-protection laws than your country of residence.

8. CHANGES TO THIS POLICY

Kryzell LLC may update this Privacy Policy from time to time and will post the updated version with a new "Last Updated" date. Material changes will be announced by email or by a notice on the Service.

2. Customer Tip Checkout Screen (Footer Notice)

The checkout wording must match the actual direct-charge flow and must not imply that Kryzell itself is the charge recipient if the charge is created on a Worker’s connected Stripe account. Suggested starting copy:

By tapping “Pay Tip,” you confirm that the tip is voluntary, authorize the payment shown on this screen to be processed through Stripe for the recipient identified above, and agree to the Kryzell Terms of Service and Privacy Policy. Please review the amount and recipient before confirming. Refunds, errors, and disputes are handled as described in the Terms and subject to applicable law and payment-provider rules.

Scheduled-tip disclosure (use only when the feature is enabled): Before the Customer schedules a tip, show the recipient, exact amount, planned charge date, and any other material payment terms, and obtain a separate affirmative authorization for the future-dated charge in a manner approved for the payment method and applicable law. Provide a straightforward cancellation method and confirmation.

SMS consent: Do not treat providing a phone number for a receipt as blanket consent to marketing texts. If SMS is used, present the legally required consent and opt-out language separately and tailor it to the actual messages sent. Include “message and data rates may apply” and STOP instructions where applicable.
